Please read these Terms carefully before placing an order. By purchasing from us you agree to be bound by these Terms together with our Privacy Policy, Cookie Policy and Refund Policy, each available on our website. Nothing in these Terms affects your statutory rights under UK law.

1 — About us and these Terms

Zipooch Ltd ("we", "us", "our") is a limited company registered in England and Wales (company number 17042428). We operate the website Zipooch.com and sell dog beds and accessories directly to consumers.

These Terms of Sale govern every contract formed between you and us when you place an order through our website. Our store is hosted by Shopify Inc. All sales contracts are between you and Zipooch Ltd — Shopify is not a party to any purchase you make.

We may update these Terms from time to time. The version in effect at the time you place your order will apply to that order. The current version is always available on our website.

2 — Eligibility and your account

You must be at least 18 years old to place an order. By placing an order you confirm that you meet this requirement.

If you create an account, you are responsible for keeping your login credentials confidential and for all activity carried out under your account. Please notify us immediately if you suspect any unauthorised use.

You agree that all information you provide to us — including your name, address, payment details and contact information — is accurate, complete and up to date.

3 — Our products

We take reasonable care to ensure that product descriptions, dimensions, images and specifications displayed on our website are accurate. However, colours may vary depending on your device display, and product dimensions may have minor manufacturing tolerances.

Our products are sold for use with domestic pets only. Nothing in our product descriptions constitutes veterinary or medical advice.

We reserve the right to amend product descriptions, specifications, pricing or availability at any time without notice. We may discontinue products without liability to you, subject to fulfilling any orders already placed and confirmed.

Nothing in this clause limits your rights under the Consumer Rights Act 2015.

4 — Placing an order and forming a contract

Browsing our website does not constitute a contract. Placing an order constitutes an offer to purchase goods on these Terms. A binding contract is formed only when we send you an order confirmation email.

We reserve the right to decline or cancel any order before dispatch. Circumstances in which we may do so include pricing errors, stock unavailability, suspected fraud or misuse, or failure to pass payment verification. If we cancel your order after payment has been taken, a full refund will be issued promptly.

Please check your order confirmation carefully and contact us immediately at hello@zipooch.com if any details are incorrect.

5 — Pricing, VAT and payment

All prices are displayed in pounds sterling (GBP). We are not currently VAT registered. Prices shown are the full prices payable — no VAT is charged at this time. We will update our pricing and this clause when VAT registration is obtained.

Delivery charges are calculated and displayed at checkout before you confirm your order.

We reserve the right to correct obvious pricing errors prior to dispatch. If a pricing error is identified after your order is placed, we will contact you to offer the option to proceed at the correct price or cancel for a full refund.

You confirm that payment details provided are valid and that you are authorised to use the relevant payment method. Payment is taken at the point of order.

6 — Delivery

Delivery timeframes displayed on our website and at checkout are estimates only and are not guaranteed. We will make every reasonable effort to fulfil orders within the stated timeframe.

In accordance with the Consumer Contracts Regulations 2013, if we fail to deliver within an agreed timeframe, you may be entitled to cancel your order for a full refund.

Goods remain our responsibility until they are delivered to the address specified in your order. Risk in the goods passes to you upon delivery.

We are not responsible for delays caused by circumstances beyond our reasonable control, including but not limited to courier delays, severe weather, postal strikes or carrier errors. We will always communicate significant delays promptly.

7 — Cancellation, returns and refunds

Your rights to cancel an order and return goods are governed by the Consumer Contracts Regulations 2013, the Consumer Rights Act 2015, and our Refund Policy, which forms part of these Terms and is available in full on our website.

You have the right to cancel an order within 14 days of receiving your goods without giving a reason, subject to the conditions set out in our Refund Policy.

Important — hygiene exemption for opened beds

Our beds are vacuum-sealed for delivery. Once the seal is broken, the memory foam expands to full size and cannot be returned to its original packaged condition.

In accordance with Regulation 28(3) of the Consumer Contracts Regulations 2013, goods which are sealed for hygiene reasons and which have been unsealed after delivery are exempt from the right of cancellation.

By opening the vacuum packaging of your Zipooch bed, you acknowledge and accept that this exemption applies and that the bed is not eligible for return unless it is faulty.

We strongly recommend checking your size choice carefully before opening. Contact us at hello@zipooch.com before unboxing if you are unsure.

Zipup covers may be returned within 14 days provided they are unwashed, free from pet hair, odours and staining, and in their original condition.

If your goods are faulty or do not conform to the contract, your statutory rights under the Consumer Rights Act 2015 are not affected by anything in these Terms or our Refund Policy.

8 — Faulty goods and your statutory rights

If goods are faulty, damaged on arrival, or do not conform to their description, please contact us within 30 days of delivery at hello@zipooch.com with your order number, a description of the issue and photographs where possible.

For confirmed faults reported within 30 days, we will offer repair, replacement or a full refund at your option. Return shipping or collection costs for confirmed faults will be covered by us.

After 30 days, your rights to remedy are governed by the Consumer Rights Act 2015. Nothing in these Terms limits or excludes those rights.

9 — Intellectual property

All content on our website, including text, graphics, product designs, the Zipooch brand name, the Zippies product name, logos and images, is owned by or licensed to Zipooch Ltd and is protected by UK and international intellectual property laws.

You may access and use our website for personal, non-commercial purposes only. You must not reproduce, copy, distribute, sell or exploit any content or intellectual property from our website without our prior written consent.

Shopify's platform, trademarks and intellectual property remain the property of Shopify Inc.

10 — User-generated content and reviews

If you submit reviews, photographs, feedback or other content to us or tag us on social media, you grant Zipooch Ltd a non-exclusive, royalty-free, worldwide licence to use, reproduce, publish and display that content for business purposes, including in paid advertising and social media, for the duration of our business operations.

You confirm that any content you submit is your own, does not infringe the rights of any third party, and is accurate.

We reserve the right to remove any content that is unlawful, offensive, inaccurate or otherwise inappropriate.

11 — Privacy and cookies

We process personal data in accordance with our Privacy Policy, which is available on our website and forms part of these Terms. Please read it carefully before placing an order.

Our website uses cookies. Details of the cookies we use, their purpose and how to manage your preferences are set out in our Cookie Policy. By continuing to use our website after being presented with our cookie notice, you consent to our use of cookies as described.

Shopify Inc. may process certain technical and transactional data as part of operating the platform on which our store is hosted. Details are available in Shopify's own privacy policy.

12 — Third-party links and tools

Our website may contain links to third-party websites. We do not control and are not responsible for the content, privacy policies or practices of any third-party sites. You access such sites at your own risk.

We may provide access to third-party tools or integrations. These are provided "as is" and we accept no liability for their operation, accuracy or availability.

13 — Limitation of liability

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any breach of obligations implied by section 12 of the Sale of Goods Act 1979 or sections 9 to 11 of the Consumer Rights Act 2015; or any other matter which cannot be limited or excluded by law.

Subject to the above, our total liability to you in connection with any order shall not exceed the total amount paid by you for the goods in question.

We are not liable for indirect or consequential losses including loss of profit, loss of data, or any business losses, to the extent permitted by law.

14 — Prohibited uses

You must not use our website or services for any unlawful purpose, to infringe the intellectual property rights of any party, to transmit harmful or malicious software, to engage in fraudulent activity, or to interfere with the security or operation of our website.

We reserve the right to suspend or terminate your access to our services if we reasonably believe these Terms have been breached.

15 — General provisions

Severability: If any provision of these Terms is found by a court to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy and Refund Policy, constitute the entire agreement between you and us in relation to your purchase. They supersede all prior agreements and representations.

Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations, for example in the event of a business transfer, provided this does not adversely affect your statutory rights.

No waiver: Our failure to exercise a right under these Terms does not constitute a waiver of that right.

Indemnity: You agree to indemnify us against any losses, claims or costs arising from your breach of these Terms or your misuse of our website.

16 — Governing law and disputes

These Terms are governed by the laws of England and Wales.

Any dispute arising from these Terms or your purchase shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We hope to resolve any concerns informally. If you have a complaint, please contact us first at hello@zipooch.com and we will make every effort to resolve the matter promptly and fairly.

Your statutory rights are not affected by these Terms. These Terms do not affect your rights under the Consumer Rights Act 2015 or the Consumer Contracts Regulations 2013.
